Who are the defendants in the ToAZ raid case?

Dmitry Mazepin

Dmitry Mazepin is the majority owner and Chairman of the Board of Directors of Uralchem, which is both a minority shareholder in and industry competitor to ToAZ. Mr. Mazepin has spent the majority of his career in the chemicals industry and has a history of consolidation of assets within the sector. He has faced accusations throughout his career for using insider connections to manipulate privatisation auctions. He has ties with individuals close to the Russian Government and formerly represented United Russia, President Putin’s party, as a regional deputy in the Kirov Region’s Legislative Assembly.

OJSC Uralchem

OJSC Uralchem is the largest ammonium nitrate producer and the second largest ammonia and nitrogen fertilizer producer in Russia. The company has a 9.7% share in ToAZ. Its Chairman of the Board of Directors is Dmitry Mazepin. Its Chief Executive Officer is Dmitry Konyaev. If Mr. Mazepin’s assault on ToAZ is successful, through Uralchem he will control 40% of Russia’s domestic ammonia production volumes, equivalent to 20% of global production in 2014.

Uralchem Holding

Uralchem Holding PLC is a company incorporated in Cyprus. It is the holding company for Uralchem.

Dmitry Konyaev

Dmitry Konyaev was CEO of Uralchem from 2011 and 2018, appearing frequently in the press for his accusations against ToAZ. He previously served as Commercial Director of Uralchem from 2007 to January 25, 2011. From 1998 to 2005, he served a number of senior management positions in Sederrot International AB, Mineral Trading and Uralkali Trading SA (Singapore). He has been Non-Executive Director of Uralkali since June 2014. He has been a Member of Uralchem’s Board of Directors since 2007.

Eurotoaz Limited

Eurotoaz Limited is a company originally incorporated in Ireland, with its registered office at the Arthur Cox Building, Earlsfort Centre, Earlsfort Terrace, Dublin. It lists Andrey Babichev as its director as of March 22, 2016. Its holding company is Benstock Finance Ltd. Dmitry Mazepin has used Eurotoaz Limited to launch multiple fraudulent claims against ToAZ in Russia in an attempt to have Russian Courts recognise Eurotoaz Limited as a ToAZ shareholder. Although Russian courts have repeatedly refused to recognize any interest of Eurotoaz Limited in ToAZ, Mr. Mazepin continues to use Eurotoaz to file baseless claims in Russia.

Andrey Babichev

Andrey Babichev is the Director of Eurotoaz Limited. Babichev has notably submitted evidence to the Russian authorities as part of Eurotoaz’ vexatious litigation campaign against ToAZ.

Yulia Bolotnikova

Yulia Bolotnikova is a lawyer working for Uralchem who has also represented Eurotoaz as an attorney in Ireland. She has also given evidence against ToAZ in legal proceedings brought by Uralchem in Russia.

Belport Investments Limited

Belport Investments Limited is a Cyrpus-registered shell company. Uralchem used a sham share purchase agreement with Belport to claim that ToAZ’ failure to provide it with corporate documents prevented it from selling its stake in ToAZ to Belport. In November 2013, Uralchem’s complaint was dismissed due to lack of evidence. The court found that the supposed failed sale contract between Uralchem and Belport Investments in fact only existed to create the false impression that Uralchem had suffered financial loss as a result of not gaining access to ToAZ’ corporate documents. In November 2016, Belport was named as one of the defendants in BKIT’s complaint before the Irish High Court, which issued a judgment in default of appearance against Belport in January 2019.

Milko Minkovski

Milko Minkovski is the beneficial owner of Belport Investments Limited, acting as a proxy for Dmitry Mazepin.

Androula Charilaou

Androula Charilaou is the Director of Belport Investments Limited. In this capacity, she signed a sham share purchase agreement with Uralchem on 8 August 2011, which was then used by Uralchem to initiate legal proceedings against ToAZ.

Evgeny Sedykin

Evgeny Sedykin, who passed away in 2021, was a Russian citizen who had acted by power of attorney on behalf of Eurotoaz in baseless claims filed by the company against ToAZ. He has also attempted to unlawfully gain control of the board of ToAZ, including by filing false paperwork with the Russian tax authority in 2015. In July 2017, Sedykin was found guilty of pursuing a criminal scheme to illegally acquire rights to assets in ToAZ using false resolutions and minutes from sham shareholders’ and Board meetings on 22 November 2015. The court also discovered that Mr. Sedykin had an agreement with Eurotoaz since 2009, pursuant to which he is entitled to 50% of all shares and dividends of ToAZ obtained through his actions. Sedykin was sentenced to serve a prison term of four years on probation. In November 2016, Sedykin was named as one of the defendants in BKIT’s complaint before the Irish High Court, which issued a judgment in default of appearance against him in January 2019.
